1. Acceptance of Terms

Welcome to Xtera. By accessing or using our website, mobile applications, or APIs (collectively, “Services”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration

To use certain features you must create an account by connecting an Ethereum or Solana wallet and verifying ownership via signature. You are responsible for safeguarding your private keys and any authentication tokens (e.g. 2FA codes). You agree to notify us immediately of any unauthorized use of your account.

4. KYC & AML Compliance

For fiat on‐ramps (buying or selling with currency), you may be required to complete Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) checks via our partner (Transak). You agree to provide accurate, current, and complete information as requested.

5. Prohibited Conduct

You agree not to:

• • Violate any applicable law, regulation, or third‐party right;
• • Use the Services for money laundering or illicit activities;
• • Attempt to reverse-engineer or compromise our platform security;
• • Use multiple accounts to manipulate markets or evade limits;
• • Interfere with or disrupt the operation of the Services.

6. Transactions & Fees

All crypto trades and transfers occur on‐chain; you bear any network (gas) fees. Xtera may charge platform fees for certain services (displayed at time of trade). We reserve the right to modify fees with notice.

7. Risks & No Investment Advice

Cryptocurrency trading is inherently risky and volatile. Nothing on Xtera constitutes financial, investment, legal, or tax advice. You alone are responsible for your trading decisions.

8. Intellectual Property

All content, logos, trademarks, and software on Xtera are owned or licensed by us. You may not use our trademarks without prior written permission.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Xtera DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Xtera AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Xtera, its officers, directors, employees, and agents from any claims arising out of your breach of these Terms or your misuse of the Services.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason, with or without notice. Sections 5, 6, 7, 9, 10, and 11 survive termination.

13. Changes to Terms

We may amend these Terms from time to time. We’ll post the revised Terms with a new “Last updated” date. Continued use of the Services after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of your jurisdiction of residence, without regard to conflicts of law principles.
